MEM Impact Network — Terms & Conditions

The rules that govern referrals, commissions, payouts, tax, privacy and anti-fraud in the MEM Impact Network.

1. Eligibility

To join the MEM Impact Network, you must be a registered MEM Academy user, aged 18 or over, and ordinarily resident in the United Kingdom.

Non-UK residents may apply but commission, tax handling and payout availability are not guaranteed. MEM may decline non-UK applications at its discretion.

Eligible users may include:

  • Coaches / PTs
  • Creators
  • Participants / candidates
  • Approved partners

MEM may approve, reject, suspend or remove access to the programme where required to protect the platform, users, brand or referral system.

2. Referral Rules & Attribution

All referrals must sign up, subscribe, purchase or enquire using your unique MEM referral link or referral code.

Referral tracking may include referral codes, cookies, UTM parameters and internal referral IDs.

Cookie duration: 30 days.

Attribution: MEM operates on a last-click basis. If a user clicks multiple affiliate links, commission is credited to the most recent affiliate whose cookie or code is active at the point of conversion.

Where two affiliates have a competing claim, MEM's tracking records are final.

If a user clears cookies, uses a different device, signs up without the referral link/code, or is already known to MEM, the referral may not be eligible.

Self-referrals are strictly prohibited.

You cannot earn commission from:

  • your own purchases
  • your own subscription
  • accounts you control
  • fake or duplicate accounts
  • referrals created to manipulate the system

3. Lower-End Commission Structure

The MEM Impact Network will launch with a controlled lower-end payout structure while referral quality, margins and fraud controls are tested.

Coach / PT referrals: £25 one-time reward + 10% recurring commission for 6 months. Payable after the referred coach completes their first paid month and remains eligible. If the coach cancels and resubscribes outside the original 6-month window, the recurring commission does not restart.

Candidate / member referrals: £5–£10 one-time reward depending on campaign eligibility. Payable after the referred user becomes active and meets the campaign criteria.

Sportswear referrals: 10% commission on eligible MEM Fitness orders. Calculated on net order value after discounts, refunds, taxes, shipping and returns.

Organisation introductions: £100 one-time reward. Payable only after the organisation signs a contract and the first payment has been received.

4. Commission Eligibility & Clawback

Commission is only payable on eligible, approved and completed referrals.

Returned, refunded, cancelled, chargeback, fraudulent or suspicious transactions are not commissionable.

Clawback: if a commission has already been paid and the underlying transaction is later refunded, charged back, reversed or found to be fraudulent, MEM may deduct the amount from future earnings or invoice it back to you.

Recurring coach commission stops immediately if the referred coach cancels, churns or breaches their own terms within the 6-month window.

MEM reserves the right to decide whether a referral qualifies for commission.

5. Payouts

Minimum payout threshold: £50 in approved earnings.

Payout method: Stripe Connect, where available. You must complete Stripe Connect identity verification before any payout is released.

Payout timing: approved commissions are usually paid within 14 days of payout request, subject to review, eligibility and Stripe processing times.

Non-UK affiliates may be asked to complete additional tax forms (e.g. W-8BEN) before payout.

MEM may withhold, delay, reduce or reject payouts where activity appears suspicious, misleading, abusive, fraudulent or in breach of these terms.

6. Tax & Self-Billing

Affiliate rewards are paid gross. You are solely responsible for declaring this income to HMRC (or your local tax authority) and paying any Income Tax, National Insurance, VAT or other taxes due.

If you are VAT-registered, MEM may operate a self-billing arrangement and issue self-billed invoices on your behalf. You agree not to issue VAT invoices to MEM for amounts covered by self-billing and to notify MEM immediately if your VAT status changes.

MEM does not provide tax advice. If you are unsure, seek independent advice.

7. Sportswear Commission Rules

Sportswear commissions apply only to eligible MEM Fitness orders.

Commission is calculated on net order value, excluding:

  • refunds
  • returns
  • cancelled orders
  • taxes
  • shipping
  • discounts
  • chargebacks

Sportswear commission is only approved after the return/refund window has passed.

If a refund occurs after commission has been paid, the clawback rule in §4 applies.

8. Organisation Referral Rules

Organisation referrals must be genuine introductions.

Commission or rewards are only payable where:

  • the organisation is new to MEM
  • the introduction is properly tracked or verified
  • the organisation enters into a paid agreement
  • the first payment has been received by MEM

MEM may decide whether an organisation introduction qualifies for commission.

9. Prohibited Actions

Affiliate members must not:

  • send spam
  • make misleading income claims
  • make false impact claims
  • impersonate MEM
  • use fake testimonials
  • use paid advertising without written approval
  • bid on MEM brand terms in search ads
  • create fake accounts
  • self-refer
  • pressure or mislead people into joining
  • use the MEM brand in a way that damages trust or reputation

10. ASA Disclosure & Advertising Standards

When you share a referral link on social media, in content, in DMs or via email, you must make the commercial relationship clear in line with UK ASA / CAP Code rules.

Use a clear, upfront label such as "#ad", "#affiliate" or "referral link" — placed where it is plainly visible before someone clicks. Hashtags buried at the end of long captions are not sufficient.

You must not present yourself as an independent reviewer if you stand to earn commission.

Health, fitness and earnings claims must be honest, evidenced and not misleading.

11. Brand Use

You may share approved MEM links, messages, images and promotional assets.

You must not alter MEM logos, make unapproved claims, or present yourself as an official employee, agent or representative of MEM unless authorised.

12. Privacy & Data

MEM processes affiliate data (account details, referral clicks, IP, device, conversion events, payout details) as a data controller under UK GDPR.

The lawful basis for processing is contract performance (running the programme and paying you) and legitimate interests (fraud prevention and analytics).

We retain referral and payout records for at least 7 years to meet UK tax and accounting obligations.

You can request access, correction or deletion of your personal data by emailing privacy@memacademy.org, subject to legal retention requirements.

13. Anti-Fraud Monitoring

MEM monitors referral activity for fraud and abuse. Signals reviewed may include:

  • shared IP addresses or devices between affiliate and referred user
  • shared payment methods or addresses
  • unusual sign-up velocity
  • high refund / chargeback rates
  • clusters of accounts that never become active
  • traffic from incentivised or fake sources

Affiliate accounts must be at least 14 days old before they can earn commission, to allow basic identity checks.

Where fraud is suspected, MEM may freeze earnings, withhold payouts and request additional verification.

14. Inactive Accounts

If an affiliate account has no referral activity and no login for 12 consecutive months, MEM may mark it as inactive.

Earnings below the £50 payout threshold in an inactive account may be forfeited after a further 6 months' written notice to the registered email address.

15. Disputes & Appeals

If you disagree with a commission decision, clawback or account action, you may raise a dispute by emailing affiliates@memacademy.org within 30 days of the decision.

MEM will acknowledge disputes within 5 working days and aim to resolve them within 20 working days.

MEM's final decision on commission eligibility is binding, subject to your statutory rights.

16. Review, Suspension and Termination

MEM reserves the right to review referral activity at any time.

MEM may suspend or terminate an affiliate account if there is suspicious activity, abuse, misleading promotion, brand misuse or breach of these terms.

If an account is terminated for breach of terms, unpaid commissions may be cancelled.

17. Changes to the Programme

MEM may update referral rewards, commission rates, eligibility rules, payout thresholds and programme terms at any time.

Any changes will apply from the date they are published or communicated.

18. Governing Law

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the English courts.

19. Final Note

The MEM Impact Network is designed to reward genuine referrals that help more people access fitness, coaching, skills and opportunity.

Earn fairly. Share honestly. Grow the movement responsibly.
